Narrator: In case you missed the news, Datavault AI has announced the signing of a binding letter of intent to acquire CyberCatch. In this video, you'll hear directly from Nate Bradley, CEO of Datavault AI, and Sai Huda, CEO of CyberCatch. This video contains forward-looking statements, just like the news release. Please read the disclaimer in its entirety at the end of the video and refer to the press release for further information. Before you hear from the two leaders, here are some key highlights from the announcement.

Datavault AI and CyberCatch plan to enter into a definitive agreement under which Datavault AI will acquire 100% of CyberCatch in an all-stock transaction. This strategic acquisition positions Datavault AI to bring CyberCatch's AI-enabled cyber risk mitigation solution to a global information security market projected to reach $240 billion in 2026, according to Gartner. CyberCatch's patented AI-enabled solution uses generative AI to ensure all legally required controls are in place, producing a Cyber Hygiene Score. It also uses agentic AI to continuously simulate threat actor tactics, techniques, and procedures to perform penetration testing and generate a Cyber Breach Score. Together, these capabilities enable organizations to detect gaps and remediate them promptly, before a threat actor can exploit them.

CyberCatch is also advancing its patent-pending, multi-authority, attribute-based encryption with revocation, known as MARS-MABE, to achieve quantum resistance. MARS-MABE provides several distinct advantages over current RSA and AES-256 encryption, including fine-grained, attribute-based access to data, the ability to restrict users to specific data subsets, and instant revocation of access without the need to re-encrypt entire datasets, delivering both speed and significant cost savings.

CyberCatch's board and advisory board include recognized leaders in national security and cybersecurity, such as Tom Ridge, former special assistant to the U.S. president and first secretary of the U.S. Department of Homeland Security, Dr. Marv Langston, former director of information systems at DARPA and cybersecurity chief for the U.S. Navy, and Scott Tate, former U.S. Navy commander and national security advisor at the Joint Chiefs of Staff. CyberCatch is led by its founder, chairman, and chief executive officer, Sai Huda, a globally recognized cybersecurity expert, author of the bestselling book Next Level Cybersecurity, co-author of Canada's national cybersecurity standard, and inventor of USPTO patent titled Automated and Continuous Cybersecurity Assessment with Measurement and Scoring. He is also the former founder and CEO of Compliance Coach, which was acquired by FIS, a Fortune 500 company where he served as general manager of risk, information security, and compliance solutions.

Following the transaction, CyberCatch is expected to operate as a subsidiary of Datavault AI from San Diego, California, with Sai Huda serving as president of the subsidiary and reporting to Nate Bradley, CEO of Datavault AI.

Nate Bradley (CEO, Datavault AI): This strategic acquisition places Datavault AI at the epicenter of two key markets in the area of cybersecurity. When you look at the information security sector, $240 billion in 2026 will be generated in that space. This is accelerated by $160 billion by 2029 that's attributed to the use of AI in cybersecurity. The cost of these attacks rose to $10.2 million on average. This is a serious issue for our clients that's addressed through the software as a service from CyberCatch.

Sai Huda (CEO, CyberCatch): Regulatory tailwinds are also converging with that demand picture, such as Department of Defense's Cybersecurity Maturity Model Certification, CMMC in the U.S. that applies to approximately 220,000 Defense Industrial Base contractors and subcontractors. CyberCatch's platform is purpose-built to address this mandate in defense, but also HIPAA in healthcare, NIST 800-171 in manufacturing, NIST CSF 2.0 in financial services, among others.

CyberCatch is also converting our patent-pending multi-authority, attribute-based encryption with revocation, MARS-MABE, to attain quantum resistance. And combining MARS-MABE with our continuous agentic AI penetration testing creates a first and next generation cybersecurity stack. This strategic acquisition is most timely, and CyberCatch is looking forward to joining forces with Datavault AI.

Narrator: Subject to a definitive agreement, Datavault AI is expected to acquire 100% of CyberCatch's issued and outstanding common shares, approximately 26.8 million shares in exchange for approximately 49.9 million newly issued shares of Datavault AI common stock at CAD $5.11 per CyberCatch share. This implies an aggregate value of approximately CAD $136.8 million for CyberCatch's outstanding common shares, based on a deemed value of USD $2 per Datavault AI share.

Nate Bradley: The acquisition provides us a number of strategic advantages. Cybersecurity is no longer a separate stack from data in AI. CyberCatch will become a very important part of our technology stack. This is relevant to our company on many fronts and useful for us in many areas of our business.

Post-closing, the CyberCatch software as a service system will be applied to the Datavault AI technology stack. We operate DataValue, DataScore, the Information Data Exchange, also our quantum VPN, all enhanced by the CyberCatch platform. The strategic acquisition is both timely and advantageous to Datavault on multiple fronts.
